North American Energy Services Subsidiaries Merge into NAES Power Contractors, Inc.

12/01/2005 - ISSAQUAH, WA - North American Energy Services (NAES) is announcing the merger of its wholly owned subsidiaries American Boiler & Chimney Co. (AB&C) located in Pittsburgh, Pennsylvania, and Power Maintenance Resources, Inc. (PMRI) located in Hillsboro, Oregon into a single company under the name NAES Power Contractors, Inc. Effective January 1, 2006, the two subsidiaries will become divisions of NAES Power Contractors and will remain headquartered at their present locations.

The combined capabilities of AB&C and PMRI under one organizational structure will allow NAES Power Contractors to operate as a national boiler and power plant maintenance services company with the capability to provide solution oriented services across the United States. The merger of AB&C and PMRI will expand NAES' strong regional boiler presence on the East and West coasts into a full service company providing boiler and HRSG maintenance, modifications and repairs; chimney maintenance and retrofits; electrical substation construction; electrical maintenance and installation services; balance of plant maintenance services; vertical concrete cask construction; tank and pressure vessel work and major environmental upgrades.

Assuming the role of President of this integrated company will be Bob Moore, formerly the Chief Subsidiary Officer responsible for managing the service companies owned by NAES. The management team for NAES Power Contractors will consist of Senior Vice President and Chief Commercial Officer Jake Hardy, former President of PMRI, and Chief Administrative Officer Dawn Kaelin, former President of AB&C. Dawn Kaelin will also serve as the Managing Director of the AB&C Division, while John Meyer will assume the role of General Manager of the PMRI Division. Larry Ross will continue as the Vice President of Operations for the AB&C Division. Jerry Kaelin, former CEO of AB&C, will assume the role of National Business Consultant and board member of NAES Power Contractors.

The boiler services business represents a major area of focused growth and expansion for NAES. "The formation of NAES Power Contractors represents an important step in achieving growth objectives and will provide significantly enhanced value for all NAES customers across the United States," said Bob Moore. "NAES Power Contractors will focus on customer satisfaction, business integrity, safety, and expanded capabilities to meet customers' requirements," he added.

NAES also provides gas and steam turbine component repair and refurbishment via TriStar Turbine Technologies, Inc. (TriStar); turbine field maintenance and predictive maintenance services via NAES Turbine Services; and technical, engineering, and management personnel via North American Contract Employee Services Company (NACES).
